O-I changing rules on board election

Owens-Illinois Inc. said yesterday it is changing its corporate governance rules to require that a board member nominee in an uncontested election resign if he or she receives more withheld votes than affirmative votes.

The board's nominating committee then is to recommend to the full board whether to accept the resignation, the company said. The announcement was made last night, and it was unclear what prompted it.

O-I, a Toledo glass container maker, has 10 board members, including three new ones this year.
